TERMS OF USE

Courtesy translation. These Terms of Use were drawn up in French; in the event of any discrepancy of interpretation, the French version prevails.


1. PURPOSE AND ACCEPTANCE

These Terms of Use (hereinafter the "Terms") govern access to and use of the Oeno.match mobile application (hereinafter the "Application", the "Service" or "Oeno.match"), published by:

By creating an account or using the Application, you accept these Terms without reservation. If you do not accept these Terms, you must stop using the Service immediately.


2. DESCRIPTION OF THE SERVICE

Oeno.match is a mobile application that lets wine lovers:

  • Manage their personal digital cellar
  • Record and track their wine bottles
  • Get food-and-wine pairing recommendations through artificial intelligence
  • Share their experiences with a community of users
  • Access educational content about wine
  • Discover commercial offers through affiliate links

The Service is available on iOS and Android.

The Service is provided "as is" and "as available", with no guarantee of continuous availability, performance or completeness.


3. CONDITIONS OF ACCESS

3.1 Minimum age

Use of Oeno.match is strictly reserved for adults (18 years old in France and most European countries, 21 in some countries).

By creating an account, you certify on your honour that you are of legal age to consume alcohol in your country of residence.

We reserve the right to verify your age at any time and to suspend or delete your account in case of doubt.

3.2 Legal capacity

You declare that you have full legal capacity to accept these Terms. If you use the Service on behalf of a company, you warrant that you have the authority to bind that entity.

3.3 Account creation

To make full use of the Service, you must create an account by providing:

  • A valid email address
  • A secure password (minimum 8 characters)
  • Your date of birth (to verify that you are of legal age)
  • Your country of residence

You are solely responsible for keeping your credentials confidential. Any activity carried out through your account will be presumed to have been carried out by you.

3.4 Single, personal account

An account is strictly personal and may not be shared, sold, transferred or assigned to a third party. Creating multiple accounts for the same person is prohibited unless expressly authorised.


4. USE OF THE SERVICE

4.1 Licence of use

We grant you a non-exclusive, non-transferable, revocable and limited licence to access and use the Application for personal, non-commercial purposes.

You are NOT authorised to:

  • Reproduce, copy, modify or distribute the Service or its content
  • Create derivative works from the Application
  • Use robots, scrapers or automated tools to extract data
  • Attempt to bypass security measures or access restricted areas
  • Disassemble, decompile or reverse-engineer the source code
  • Use the Service for commercial purposes without written authorisation
  • Resell or redistribute access to the Service

4.2 Rules of conduct

Oeno.match applies a zero-tolerance policy towards objectionable content and abusive behaviour. Any breach results in the removal of the content and the exclusion of its author.

By using Oeno.match, you undertake to:

  • Publish only content to which you hold the rights
  • Comply with applicable laws and the rights of third parties
  • Refrain from defamatory, abusive, racist, sexist or discriminatory remarks
  • Not harass, threaten or intimidate other users
  • Not impersonate another person
  • Not publish pornographic, violent or hateful content
  • Not spam, send unsolicited messages or engage in unauthorised advertising
  • Not encourage excessive or dangerous alcohol consumption
  • Not promote the sale of alcohol to minors

4.3 Age verification and prevention

Oeno.match is not an alcohol sales service. We neither deliver nor sell alcoholic beverages directly. We connect buyers and sellers so that a wine purchase can take place. Affiliate links to third-party merchants are provided for information purposes only.

You acknowledge that:

  • Alcohol consumption carries health risks
  • Alcohol abuse is dangerous to health and alcohol must be consumed in moderation
  • Alcohol consumption is prohibited for pregnant women
  • Driving under the influence of alcohol is prohibited

5. USER CONTENT

5.1 Definition

"User Content" means any content you publish, upload, share or transmit through the Service, including without limitation:

  • Tasting notes
  • Comments and reviews
  • Photos of bottles and labels
  • Posts in the community section
  • Private messages
  • Ratings and scores

5.2 Ownership of content

You retain all your intellectual property rights over your User Content.

By publishing content on Oeno.match, you grant us a worldwide, non-exclusive, transferable, sublicensable and royalty-free licence to:

  • Use, reproduce, modify, adapt and publish your content
  • Create derivative works from your content
  • Distribute and publicly display your content
  • Use your content to promote the Service (with your prior consent for use outside the Application)

This licence ends when you delete your content or your account, except for:

  • Content you have shared with other users and that they have not deleted
  • Backup copies kept for technical reasons (deleted within 90 days)
  • Content required to comply with legal obligations

5.3 Responsibility for your content

You are solely responsible for your User Content.

You warrant that:

  • You hold all necessary rights over the content you publish
  • Your content does not infringe any intellectual property right, image right or privacy right
  • Your content complies with these Terms and applicable laws
  • You assume full responsibility in the event of a third-party claim

We are NOT responsible for User Content and exercise no prior control over publications. We act as a host within the meaning of Article 6.I.2 of the French LCEN.

5.4 Moderation, reporting and blocking

Oeno.match applies a zero-tolerance policy towards objectionable content (abusive, hateful, violent, sexual, defamatory or unlawful) and abusive users. Reporting content: every post, comment, review, profile and group order includes a "Report" option. You can also write to contact@licorice-conseil.com. Blocking a user: from a member's profile, the "Block" option immediately removes their content from your feed and prevents them from interacting with you. Every block is notified to the moderation team. Our commitment: every report is reviewed within a maximum of 24 hours. Any content contrary to these Terms is removed and its author is excluded from the Service, in accordance with article 11.1. We cooperate with the competent authorities in the event of unlawful content.

5.5 Content deletion

You may delete your content at any time from your account. Deletion becomes effective within 48 hours on production servers and within 90 days for backups.

Exception: Content required to comply with legal obligations (e.g. a judicial investigation) may be kept beyond this period.


6. INTELLECTUAL PROPERTY

6.1 Oeno.match's rights

The Application, its source code, design, logos, visual identity, databases and all elements that make it up (except User Content) are the exclusive property of Oeno.match or its licensors.

In particular, the following are protected:

  • The "Oeno.match" trademark and its logo
  • The user interface design
  • The recommendation algorithms
  • The appellation and grape-variety databases
  • The texts, images and editorial content
  • The software architecture

Any unauthorised reproduction, representation, modification or exploitation constitutes infringement punishable under the French Intellectual Property Code.

6.2 Use of trademarks

The trademarks, logos and trade names displayed in the Application belong to their respective owners (wineries, appellations, regions, etc.). Their use is strictly limited to identifying the wines referenced.

6.3 Hyperlinks

The Application may contain links to third-party sites (wine merchants, producers, etc.). We do not control these sites and disclaim any responsibility for their content, privacy practices or availability.


7. COMMERCIAL AFFILIATION AND MONETISATION

7.1 Affiliate programme

Oeno.match takes part in affiliate programmes with third-party wine merchants, which may change over time.

How it works: When you click a link to a product at a partner and make a purchase, we may receive a commission.

This entails NO extra cost for you. The price you pay is the same as you would pay by going directly to the merchant's website.

7.2 Independence of recommendations

Our wine and food-pairing recommendations are generated by artificial intelligence algorithms or by our editorial choices and are NOT influenced by our commercial partnerships.

We do not favour our partners' products in our suggestions. Affiliate links are clearly identified as such.

7.3 No guarantee on third-party transactions

We are NOT a party to transactions carried out with our partners.

Any order, delivery, return, refund or dispute concerning a purchase made through an affiliate link must be handled directly with the merchant concerned.

We disclaim any responsibility regarding:

  • The quality, conformity or availability of the products
  • Delivery times and costs
  • Return and refund policies
  • The customer service of partner merchants
  • Commercial disputes

7.4 Prices and availability

Prices and availability displayed via affiliate links are indicative and may vary. We do not guarantee their real-time accuracy.


8. GROUP ORDERS BETWEEN USERS

8.1 Principle

The "Group orders" feature allows you to invite other users to join you in purchasing the same wine together from a third-party seller.

The person who publishes the proposal is referred to as the Organiser. Those who accept it are referred to as the Participants.

8.2 Our role

In accordance with article 4.3, Oeno.match is not an alcohol retail service. We provide a technical tool that puts users in touch with one another.

We are neither seller, nor reseller, nor agent, nor commission agent, nor broker, nor intermediary to the transaction. We are not a party to the contract entered into between the Organiser, the Participants and the third-party seller, we never hold the bottles, and we receive no remuneration or commission in respect of group orders.

8.3 Your obligations as Organiser

You act in your own name, on behalf of the group, free of charge. You undertake to:

  • Derive no profit, margin, commission or benefit of any kind from redistributing the bottles. The amount requested from each Participant may not exceed their share of the price actually paid to the third-party seller and of the costs actually incurred, with supporting documents provided on request
  • State, before any Participant commits, the wine concerned, its bottle size, the unit price and the handover arrangements
  • Carry on no commercial alcohol retail activity through this feature
  • Ensure that your own purchase from the third-party seller complies with the regulations applicable to you
  • Inform Participants without delay of any cancellation, unavailability or substantial change

8.4 Your obligations as Participant

Your acceptance constitutes a firm undertaking to pay the Organiser the share corresponding to the quantity you indicated.

You undertake to provide accurate contact details enabling the Organiser to reach you, and not to resell the bottles acquired in this context.

8.5 No payment, storage or delivery

No payment is made within the Application. Settlement takes place directly between the Participant and the Organiser, by any means agreed between them, outside the Service.

We provide neither storage, nor transport, nor handover of the bottles. We offer no completion guarantee, no escrow and no refund mechanism.

8.6 Alcohol and regulations

The sale and the free supply of alcoholic beverages to minors are prohibited, in accordance with article L. 3342-1 of the French public health code.

This feature may not be used to promote alcoholic beverages beyond what articles L. 3323-2 et seq. of that code permit.

If you act in a professional capacity, it is your responsibility to hold the required licences, declarations and authorisations.

Alcohol abuse is dangerous for your health. Consume in moderation.

8.7 Disclosure of your contact details

By accepting a group order, you expressly consent to your email address and, if you provide it, your telephone number being passed to the Organiser, for the sole purpose of arranging payment and handover of the bottles. The legal basis for this processing is your consent, within the meaning of article 6.1.a of the GDPR.

The Organiser becomes the controller of those contact details for the use they make of them. They undertake to make no use unrelated to the group order concerned, in particular no marketing, and to delete them once the operation is complete.

You may withdraw your participation from the Application until the deadline set by the Organiser. Withdrawal cancels your commitment, ends the Organiser's use of your contact details, and is notified to them. It does not affect the validity of prior processing. After that deadline, your participation can no longer be changed or withdrawn. Contact details are retained for twelve months from the closure of the group order.

8.8 No warranty and liability

Further to article 10, we give no warranty and accept no liability in respect of:

  • The authenticity, origin, vintage, quality, state of preservation or conformity of the wines concerned
  • The accuracy of the prices announced by the Organiser
  • The proper performance of payment or handover of the bottles
  • The solvency or default of the Organiser, the Participants or the third-party seller
  • The Organiser's compliance with their undertaking to derive no profit

Any dispute arising from a group order is solely between the users concerned and, where applicable, the third-party seller.

8.9 Breaches and sanctions

The following are prohibited in particular: redistribution at a margin, use of the feature for commercial or advertising purposes, offering counterfeit products, transfer to a minor, and any solicitation unrelated to the purpose of the group order.

On the terms set out in articles 5.4 and 11.1, we may remove a publication, suspend access to the feature or terminate your account in the event of a breach of this article.

8.10 Future developments

Should we come to act as a remunerated intermediary in these transactions, a new version of these Terms and of the consent text collected in the Application would be submitted for your acceptance, on the terms set out in article 15.


9. PERSONAL DATA

The processing of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

In summary:

  • We collect only the data necessary for the Service to function
  • Your data is hosted in Europe (as a priority) and in the United States (subcontractors)
  • You have rights of access, rectification, erasure and portability (GDPR)
  • We never sell your personal data to third parties

10. LIMITATION OF LIABILITY

KEY CLAUSE — PLEASE READ CAREFULLY

10.1 Exclusion of warranties

To the fullest extent permitted by applicable law, Oeno.match is provided "AS IS" and "AS AVAILABLE", without any express or implied warranty, in particular:

We do NOT warrant that:

  • The Service will be free of errors, bugs or interruptions
  • Food-and-wine pairing recommendations will suit your personal taste
  • Information about wines (appellations, grape varieties, vintages) will be 100% accurate
  • Wine maturity calculations will be infallible
  • The Service will be available 24/7 without interruption
  • Data will be saved without any possible loss
  • Artificial intelligence results (Gemini, OpenAI, Anthropic or others) will always be correct

Use of Oeno.match is at your own risk.

10.2 Limitation of liability by amount

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE (WHETHER IN CONTRACT, TORT, NEGLIGENCE OR ANY OTHER LEGAL THEORY) SHALL IN NO EVENT EXCEED:

The greater of:

  1. €50 (fifty euros)
  2. Half of the commissions and subscriptions that Oeno.match actually collected through your personal use of the Service during the 12 months preceding the event giving rise to liability

Note: As of today, Oeno.match is a free service. If paid subscriptions are introduced in the future, this cap will apply accordingly.

10.3 Limitation of liability by time

ANY CLAIM AGAINST OENO.MATCH MUST BE FILED WITHIN A MAXIMUM OF 1 (ONE) YEAR FROM THE DATE ON WHICH THE CAUSE OF ACTION AROSE.

After this period, any liability action shall be inadmissible and time-barred.

10.4 Exclusion of indirect damages

IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, revenue, data or business opportunities
  • Loss of reputation or image
  • Cost of replacement goods or services
  • Business interruption
  • Non-material harm
  • Damages resulting from unauthorised access to your account (if you did not secure your credentials)
  • Harm related to interactions with other users
  • Damages resulting from advice or recommendations by other users

This applies even if we have been advised of the possibility of such damages.

10.5 Liability for content and recommendations

AI recommendations: Food-and-wine pairing suggestions generated by artificial intelligence are provided for information purposes only. They do not in any way constitute professional advice from a sommelier or oenologist.

We are not liable if:

  • A suggested food-and-wine pairing does not match your taste expectations
  • A bottle recommended for an occasion turns out to be disappointing
  • A wine maturity estimate proves incorrect
  • Information on an appellation, grape variety or vintage contains an error

Community information: Reviews, ratings and comments from other users reflect their personal opinions and do not bind us. We are not responsible for the accuracy, reliability or consequences of such information.

10.6 Liability regarding alcohol consumption

IMPORTANT — HEALTH AND SAFETY:

Oeno.match is a cellar-management and wine-discovery tool. We are in NO WAY responsible for:

  • Your alcohol consumption and its effects on your health
  • Accidents, damage or injury resulting from alcohol consumption
  • Drunk driving
  • Health problems related to excessive consumption
  • Allergies or food intolerances (food-and-wine recommendations)

Alcohol abuse is dangerous to health. Consume in moderation.

10.7 Indemnification

You agree to defend, indemnify and hold us harmless against any claim, demand, damage, loss, cost or expense (including reasonable lawyers' fees) arising from or related to:

  • Your breach of these Terms
  • Your User Content
  • Your use of the Service
  • Your infringement of the rights of a third party

10.8 Legal exceptions

Some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for indirect damages. In that case, the above limitations may not apply in full. You then have the minimum rights provided by applicable law.

This limitation-of-liability clause shall survive the termination of your account and of these Terms.


11. SUSPENSION AND TERMINATION

11.1 Suspension or termination by Oeno.match

We may suspend or terminate your account immediately and without notice in the event of:

  • Breach of these Terms
  • Fraudulent or illegal activity
  • Abusive behaviour towards other users or the Oeno.match team
  • Publication of unlawful content or content infringing the rights of third parties
  • Attempts to bypass security measures
  • Creation of multiple accounts after suspension
  • Prolonged inactivity (account inactive for more than 3 years)

In the event of termination for serious breach:

  • You immediately lose access to the Service
  • Your account and data may be permanently deleted
  • No refund will be granted (if paid subscriptions exist in the future)
  • You may not create a new account without express authorisation

11.2 Termination by the user

You may delete your account at any time from the Application settings or by contacting us at contact@licorice-conseil.com.

Effects of deletion:

  • Access interrupted immediately
  • Personal data deleted within 30 days in accordance with our Privacy Policy
  • Community content anonymised (to preserve the integrity of discussions)
  • No possibility of recovery after 30 days

11.3 Effects of termination

Upon termination, whatever the cause:

  • Your licence of use ends immediately
  • You must stop all use of the Service
  • The clauses of the Terms that, by their nature, survive termination (liability, intellectual property, indemnification) remain in force

12. AVAILABILITY AND MAINTENANCE

12.1 Service availability

We make every effort to ensure the Service is available 24/7, but we do not guarantee uninterrupted availability.

The Service may be temporarily unavailable due to:

  • Scheduled or emergency maintenance
  • Technical failures (servers, network, third-party providers)
  • Cyberattacks (DDoS, hacking)
  • Force majeure

We will endeavour to notify you in advance of scheduled maintenance via the Application or by email.

12.2 Changes to the service

We reserve the right to:

  • Modify, suspend or discontinue all or part of the Service at any time
  • Add, remove or change features
  • Change APIs, data formats or interfaces

We will endeavour to notify you of major changes at least 30 days in advance, except in an emergency.

12.3 Permanent discontinuation of the service

If Oeno.match is permanently discontinued, we will notify you at least one month in advance. During this period, you may obtain an export of your data on simple request to contact@licorice-conseil.com, in accordance with your right to data portability.


13. GOVERNING LAW AND JURISDICTION

13.1 Governing law

These Terms are governed by and construed in accordance with French law, to the exclusion of any other legislation.

13.2 Amicable dispute resolution

In the event of a dispute concerning the interpretation or performance of these Terms, we undertake to seek an amicable solution before any legal action.

Procedure:

  1. Contact our support team at contact@licorice-conseil.com, setting out the problem
  2. We undertake to respond within 15 business days
  3. If no solution is found within 60 days, you may initiate legal or mediation proceedings

13.3 Consumer mediation

In accordance with Article L.616-1 of the French Consumer Code, you have the right to use a consumer mediator free of charge to resolve a dispute amicably.

13.4 Competent jurisdiction

Failing an amicable resolution, any dispute shall be brought before the competent courts of Rennes, France, save for any mandatory provision to the contrary (e.g. jurisdiction of the consumer's place of residence).

14. GENERAL PROVISIONS

14.1 Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Oeno.match regarding use of the Service. They supersede any prior agreement, negotiation or discussion, whether written or oral.

14.2 Partial invalidity

If any clause of these Terms is held invalid, illegal or unenforceable by a competent court, that clause shall be amended to the minimum extent necessary to make it valid and enforceable. The other provisions shall remain fully in force.

14.3 Waiver

Oeno.match's failure to exercise a right or to require performance of a provision of the Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations (in particular in the event of a merger, acquisition or asset transfer) subject to prior notice.

14.5 No employment or partnership relationship

These Terms create no employment, agency, partnership or joint-venture relationship between you and Oeno.match.

14.6 Headings

Article headings are inserted for reading convenience only and do not affect interpretation of the Terms.

14.7 Language

These Terms are drawn up in French. In the event of translation into other languages, the French version shall prevail in the event of any discrepancy of interpretation.


15. AMENDMENTS TO THE TERMS

We may amend these Terms at any time to reflect:

  • The evolution of our services and features
  • Regulatory changes
  • Industry practices
  • User feedback

Notification of changes:

  • In the event of a substantial change, you will be notified by email and/or via an in-app notification at least 30 days before it takes effect
  • The "effective date" at the top of the document will be updated
  • Your continued use of the Service after the new Terms take effect constitutes acceptance

If you refuse the new Terms: You must stop using the Service and delete your account before they take effect. No refund will be granted (if paid subscriptions exist in the future).

  • Application: The Oeno.match mobile application available on iOS and Android
  • Terms: These Terms of Use
  • Account: The personal space created by the user to access the Service
  • User Content: Any content published, uploaded or shared by a user
  • Service: All the features offered by Oeno.match
  • User / You: Any natural or legal person using the Service
  • LCEN: French Act on Confidence in the Digital Economy (2004)
  • GDPR: General Data Protection Regulation (EU 2016/679)
  • Force majeure: An unforeseeable, irresistible and external event (natural disaster, war, general strike, etc.)

BY USING OENO.MATCH, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND ACCEPTED THESE TERMS OF USE IN FULL.
